Learning objectives
The course discusses the interactions between corporate governance and AI in managing the traditional agency problems arising in every institution. In particular, from an interdisciplinary and critical perspective, the course focuses on the risks and benefits of using artificial intelligence in a governance structure, emphasizing the importance of striking a proper balance among all the different interests involved. In this context, the course will highlight how these elements change depending on the specific characteristics of every institution (e.g., corporation, non-profit institution, digital platform, etc.).
Expected learning outcomes
 The course aims to increase participants' awareness of the characteristics of AI and corporate governance, developing their ability to autonomously apply the concepts learned to the digital context.

Course syllabus
- The role and the objectives of corporate governance: agency problems, corporation purpose, and governance strategies
- The role of AI and new technologies in corporate governance and internal controls: efficiencies and risks, management duties, and regulated activities
- Platform governance: the disruption of the corporation and the new distributed organizations
- Blockchain and Decentralised Autonomous Organizations (DAOs)
Prerequisites for admission
Basic knowledge of commercial, private, and European law
Teaching methods
Lectures (in presence only) and discussion of practical cases. Possibility of in-depth study on a voluntary basis
