The objective of the course is to investigate the systematic differences between Contract Law and Corporate Law through the analysis of the invalidity of contracts and resolutions. In particular, the course shows that the trade-off between the safeguard of the real agreement of the parties and the protection of legitimate expectations of third parties is balanced differently in the aforementioned areas of Private Law. Moreover, the course explores the underlying rationale of the general principle of stability of corporate resolutions, in connection with the impact of these resolutions on the company and on its stakeholders.
